1. Introduction and Acceptance
These Terms of Use and Sale govern your use of the NoLooky Image Sorter website at https://nolookysorting.com, user accounts, downloads, purchases, license services, support communications, and related online services.
NoLooky Image Sorter is downloadable Windows desktop software. The separate End User License Agreement governs installation and use of the desktop software itself. If you download, purchase, activate, access, or use applicable NoLooky services, you agree to these Terms, subject always to mandatory laws that cannot be excluded.

3. Eligibility
You must have legal capacity to enter into a contract under the laws that apply to you. If you are a minor or otherwise do not have legal capacity, you may use NoLooky only with any required parent, guardian, or legal representative permission.
4. User Accounts
You may need an account to download NoLooky, access license information, reset your password, or buy a Full License. You must provide accurate information, must not impersonate another person, and are responsible for keeping your credentials secure.
You must notify NoLooky if you suspect unauthorized access to your account. NoLooky may suspend or restrict accounts where reasonably necessary for security, fraud prevention, chargeback review, or material breach of these Terms.
You may request account deletion through support. Deletion may affect access to account records, downloads, and license display. NoLooky may retain records where needed for legal, tax, accounting, fraud-prevention, dispute, security, or license-support purposes.
5. Free Trial
The Free Trial is provided for evaluation. It permits sorting up to 500 files. Scan and preview functionality may be broader than the sorting limit. Trial limits may be technically enforced, and you must not circumvent trial, device, account, or license limits.
No credit card is required for the current Free Trial unless this changes in a clearly disclosed future version.
6. Full License Purchase
The NoLooky Full License costs $49 USD as a one-time payment. It is not a subscription. It grants unlimited sorting, subject to the applicable device limit and the EULA. The default device limit is one device unless a different limit is stated at checkout, in your account, or in an agreed written offer.
Taxes may be added, collected, or handled according to your location and Stripe configuration. Your license becomes available after confirmed successful payment. Buying a license does not transfer ownership of the software, website, models, code, trademarks, or other intellectual property.
7. Payment Processing
Stripe processes payment-card information. Stripe's own terms and privacy notices apply to card processing. NoLooky receives payment confirmation, transaction/session references, customer email, amount, currency, payment status, and related data needed to fulfill the purchase. NoLooky should not receive your full card number or CVC.
If payment fails or checkout is cancelled, no Full License is created for that checkout. Chargebacks, suspected fraud, or payment disputes may lead to reasonable review, temporary suspension, or license restriction while the issue is investigated.
8. Digital Delivery
NoLooky is supplied electronically. Delivery is generally completed when the installer is made available and the purchased license is created or made visible in your account after successful payment confirmation.

9. Refunds and Consumer Rights

Nothing in these Terms limits mandatory consumer rights, statutory withdrawal rights where applicable, or mandatory remedies for defective or non-conforming digital content. Chargebacks should not replace contacting support first where support can resolve the issue, but this does not prevent lawful cardholder rights.
10. Downloads and Updates
You are responsible for using compatible hardware, Windows versions, permissions, disk space, and security settings. Versions, features, system requirements, and supported formats may evolve. NoLooky may provide maintenance, compatibility, or security updates, but does not promise perpetual new feature additions or support for every old operating system forever.
"Lifetime" means lifetime use of the purchased license entitlement under the EULA. It does not guarantee perpetual hosting, support response times, every future major version, every future platform, or compatibility with every future operating-system change unless expressly stated.
11. Privacy-First Design: Your Media Stays on Your Computer
NoLooky is designed so ordinary scanning, AI inference, previewing, sorting, duplicate detection, and reporting happen locally on your computer. NoLooky does not receive your photos or videos merely because the desktop software scans or sorts them.
Exceptions outside NoLooky's ordinary processing include files you voluntarily send to support, operating-system services, antivirus tools, cloud backup/sync tools, or other third-party software you use independently.
12. User Responsibilities and Backups
You are responsible for selecting the correct input and output folders, checking available disk space, reviewing previews, warnings, categories, and output, and keeping independent backups. Do not rely on Undo as your only backup.
Safe Copy is the default sorting mode. It creates copies in the selected output folder and is designed not to change originals in Safe Copy mode. Undo relies on NoLooky reports and can only remove copied files listed in the applicable report. You are responsible for having permission to process the files you select and for lawful use of the software.
13. Prohibited Conduct
You must not use NoLooky to violate law, privacy, intellectual property, or third-party rights. You must not distribute malware, attack or scrape the website/API, interfere with license systems, circumvent trial/device/license limits, sell or share license keys, redistribute the installer without permission, represent NoLooky as your own product, or make the software available as a competing service.
14. Intellectual Property
The software, website, logo, branding, code, models, documentation, designs, and related materials remain owned by NoLooky or its licensors. You receive only the limited rights described in the EULA. You retain ownership of your own files, and NoLooky obtains no ownership of media processed locally on your computer.
15. Third-Party Components
NoLooky may use third-party and open-source components such as Electron, ONNX Runtime, AI models, Stripe, and other libraries or runtimes. Their own notices and licenses may apply. [CONFIRM BEFORE PUBLICATION: add path/link to third-party notices when bundled.]
16. AI and Automated Classification Disclaimer
AI and automatic classification are probabilistic and may make mistakes. Categories, confidence scores, people, object, animal, document, sensitive-content, or other classifications must not be treated as professional, legal, medical, forensic, safety, or identity conclusions.
Current local object/category detection is not guaranteed to identify every person or object and should not be used for biometric identification unless the software is explicitly developed and legally supported for that purpose. You must review results before copying, deleting, relying on, or sharing output.
17. Availability and Changes
The website, account area, downloads, and license services may experience maintenance, outages, provider issues, or security restrictions. NoLooky may make reasonable changes to functionality, documentation, pricing for future purchases, and these Terms. Material changes will be communicated where legally required.
18. Disclaimers
NoLooky is provided with reasonable care, but operation may not be uninterrupted or error-free. Compatibility and performance may vary. NoLooky does not guarantee perfect classification, duplicate detection, date detection, metadata reading, or sorting outcomes. Nothing in this section excludes statutory conformity guarantees or other mandatory rights that cannot legally be excluded.
19. Limitation of Liability
To the maximum extent legally permitted, NoLooky is not liable for indirect or consequential losses, loss of profits, business interruption, or avoidable data loss caused by failure to keep backups. Where legally valid, NoLooky's aggregate liability relating to a paid Full License may be capped at the amount you paid for that license.
This limitation does not apply where prohibited by law and does not limit liability for fraud, wilful misconduct, gross negligence where applicable, death or personal injury where legally required, mandatory consumer remedies, or any liability that cannot legally be excluded or limited.
20. Indemnity
For business users and unlawful misuse only, to the legally permitted extent, you agree to indemnify NoLooky against third-party claims caused by your illegal content or use, material breach, unauthorized redistribution, license-key sharing, or use of NoLooky to violate third-party rights. This clause is not intended to impose an excessive indemnity on consumers beyond what applicable law allows.
21. Suspension and Termination
NoLooky may suspend accounts, downloads, or licenses for material breach, fraud, chargeback, key sharing, attacks, security threats, or unlawful use. Where appropriate, NoLooky may give you a reasonable opportunity to resolve the issue. Termination does not erase accrued rights, payment obligations, legal retention duties, or clauses intended to survive termination.
22. Governing Law and Disputes

23. Severability, Waiver, Assignment, and Entire Agreement
If part of these Terms is invalid, the remaining parts continue to apply. Failure to enforce a term is not a waiver. You may not assign your account or license except where mandatory law permits. NoLooky may assign these Terms as part of a merger, acquisition, restructuring, or sale of relevant assets, subject to applicable law. These Terms, the EULA, Privacy Policy, and checkout terms form the relevant agreement for the website and purchase flow.
