1. Agreement and Installation
This End User License Agreement governs your installation, activation, and use of NoLooky Image Sorter. By installing, activating, or using the software, you accept this EULA, subject to mandatory law. The website Terms of Use and Sale and Privacy Policy also apply where relevant.
2. Licence Grant
NoLooky grants you a limited, non-exclusive, non-transferable licence to install and use the software for personal or internal business media organization, subject to the applicable license type, device limit, and this EULA. The licence may be revoked for material breach. Transfer rights required by mandatory law remain unaffected.
3. Ownership
The software is licensed, not sold. NoLooky and its licensors retain ownership of the software, code, models, designs, documentation, trademarks, and related intellectual property. You own your media files and the output copies/reports created from your files.
4. Permitted Use
You may install NoLooky on permitted devices, process media you are legally allowed to process, make a reasonable backup copy of the installer where legally allowed, and use the Full License offline after successful activation according to product functionality.
5. Restrictions
To the extent legally allowed, you must not resell, sublicense, rent, lease, redistribute, publish the installer or license key, share accounts or keys, circumvent activation/device/trial limits, modify the software to remove attribution or licensing, create a competing commercial product from substantial portions of NoLooky, use it maliciously, or reverse engineer/decompile it except where mandatory law expressly permits.
You must not publish misleading benchmarks or test results in a way that misrepresents the product, violates law, or breaches confidentiality obligations.
6. License Keys and Devices
Keep your license key confidential. Activation uses a stable local device identifier, device name, app version, and license key to enforce device limits. If a device is lost, replaced, or deactivated, contact support for help. NoLooky may restrict abusive, fraudulent, shared, or publicly posted keys.
7. Free Trial
The Free Trial permits sorting up to 500 files and is provided for evaluation. You must not circumvent trial limits or create artificial conditions to avoid them.
8. Full License
The Full License is purchased for a one-time fee and permits unlimited sorting, subject to the device count. Lifetime use means the duration of the licence/product entitlement under this EULA, not guaranteed perpetual support, hosting, new features, or compatibility with every future operating system. After online activation, the Full License can continue working offline according to product functionality.
9. Local Processing and Privacy
NoLooky is privacy-first. Photos and videos are ordinarily processed locally and do not leave your computer because the software scans, previews, sorts, or classifies them. License requests are limited to license key, stable device ID, device name, and app version. The Privacy Policy explains online processing. NoLooky cannot control unrelated operating-system, antivirus, backup, sync, or third-party behavior.
10. Safe Copy and File Operations
Safe Copy is the default sorting mode. It creates copies in the selected output folder and is designed not to change originals in Safe Copy mode. Output naming conflicts may be handled by renaming, foldering, or other product logic. You must choose the correct folders, keep backups, check permissions and disk space, and review output.
Undo depends on NoLooky reports. It can only remove copied files listed in the applicable report. Missing, changed, renamed, manually moved, or overwritten files may prevent complete undo.
11. Metadata and Date Detection
NoLooky may use EXIF metadata, filename patterns, creation dates, modification dates, or other available information. Metadata can be missing, altered, inconsistent, or inaccurate. You must review destination folders before relying on date-based organization.
12. Duplicate Detection
Exact duplicate detection may use file size and hashing. Hash matches indicate identical file content for the tested method, but do not decide which copy you personally want to keep. No files are automatically deleted merely because they are duplicates unless a future explicit feature clearly says otherwise and you choose it.
13. Screenshot Detection
Screenshot detection may use heuristics and can produce false positives or false negatives. Review classifications before relying on them.
14. AI Features
AI features use local models and probabilistic outputs. Misclassification is possible. Object/category detection is not identity verification and is not a biometric, forensic, medical, legal, safety, or professional assessment. You must review output before copying, deleting, or relying on it.
Model files and runtimes may require compatible hardware/software. Normal sorting may continue if AI is unavailable, depending on product version and selected settings.
15. Videos and Unsupported Formats
Supported formats can change. Basic video sorting relies on available dates and readable metadata. NoLooky does not guarantee that every codec, container, sidecar file, or metadata format is readable.
16. Updates
NoLooky may offer optional or required updates for security, compatibility, licensing, or features. Updates may change behavior or requirements. NoLooky does not guarantee support for obsolete systems forever. [CONFIRM BEFORE PUBLICATION: final update policy and major-version entitlement.]
17. Third-Party Software and Models
NoLooky may include Electron, ONNX Runtime, Sharp, AI models, Microsoft runtime components, and other third-party or open-source software. Their license notices apply. [CONFIRM BEFORE PUBLICATION: add bundled third-party notice path or link.]
18. Support
Support may include account, license, activation, installation, and troubleshooting help. No guaranteed response time is provided unless separately stated. You may need to voluntarily provide diagnostic information. Do not send private media unless necessary and agreed.
19. Warranty and Statutory Rights
NoLooky is provided with reasonable care and on an as-available basis. NoLooky does not guarantee uninterrupted, error-free, perfectly compatible, or perfect AI/classification operation. Non-waivable consumer guarantees and digital-content conformity rights remain unaffected.
20. Limitation of Liability
To the maximum extent legally permitted, NoLooky is not liable for indirect or consequential losses, avoidable data loss where backups were not kept, lost profits, or business interruption. Where valid, liability may be capped at the amount paid for the relevant Full License.
These limits do not apply where prohibited by law, including fraud, wilful misconduct, gross negligence where applicable, death or personal injury where legally required, mandatory consumer remedies, or liability that cannot legally be excluded.
21. User Liability and Unlawful Use
You are responsible for your content, rights to process/copy media, and lawful use. NoLooky is not responsible for your unlawful processing, copying, distribution, surveillance, or rights violations. For business users or unlawful misuse, a limited indemnity may apply as described in the Terms of Use and Sale.
22. Termination
NoLooky may terminate or suspend your licence for material breach, key sharing, fraud, chargeback abuse, circumvention, or unlawful use. After termination, you must stop using the software and uninstall it where required. Mandatory rights and sections intended to survive termination remain in effect.
23. Export and Sanctions Compliance
You must comply with export control, sanctions, and trade laws that apply to your use of NoLooky. You must not use or provide the software where prohibited by applicable law.
24. Governing Law and Dispute Resolution
This EULA is governed by [GOVERNING LAW], with disputes subject to [COURT/JURISDICTION], except that mandatory consumer protections and forum rights remain available.
25. Entire Agreement, Severability, Waiver, Assignment
This EULA, the Terms of Use and Sale, and Privacy Policy form the relevant agreement for software use. If a clause is invalid, the rest remains effective. Failure to enforce is not a waiver. Assignment is limited by applicable law and any mandatory transfer rights.
